1. Agreement to Terms

By accessing or using the agAI Data Powered Farm Management platform ("agAI," "Platform," "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use agAI.

These Terms constitute a legally binding contract between you and agAI ("we," "us," "our," "Company").

Who May Use agAI

You may use agAI only if:

• You are at least 18 years of age
• You have the legal authority to bind your business/organization
• You are not prohibited from using the Service under applicable law
• You comply with these Terms and all applicable laws

For Business Users: If you use agAI on behalf of a dairy farm, veterinary practice, or other business entity, you represent that you have authority to bind that entity to these Terms.

Agreement Scope & Partner Laboratory Relationships

IMPORTANT: This agreement is solely between you (the Client) and agAI. agAI is not a party to, and assumes no responsibility for, any agreements, contracts, or relationships between you and your partner veterinary laboratories (such as VCMS Veterinary Consulting and Management Services or any other lab you choose to work with).

Partner Laboratory Responsibility

• Each veterinary laboratory maintains its own separate agreement with you
• Laboratories are solely responsible for their testing services, quality control, and client relationships
• agAI only provides data analytics and management services on data you authorize us to access
• Any disputes, billing issues, or service problems with your laboratory partner must be resolved directly with that laboratory

Related Agreements

By using agAI, you also agree to our Privacy Policy, which explains how we collect, use, and protect your information.

Changes to Terms

We may modify these Terms at any time:

• Material changes: 30-day notice via email
• Effective date: Clearly stated in updated Terms
• Continued use: Constitutes acceptance of changes

If you do not agree to changes, you must discontinue use and may request account deletion.

2. Service Description

What agAI Provides

agAI provides Data Powered Farm Management services that enable dairy farms to track, analyze, and optimize their herd health data, including:

Laboratory Sample Result Tracking & Export

• Secure access to laboratory test results from partner veterinary labs
• Comprehensive sample history and audit trails
• Export capabilities for regulatory reporting and record keeping
• Integration with existing farm management systems

Analytics, Dashboards & Data Insights

• Advanced herd health analytics and reporting dashboards
• Infection rate tracking and trending analysis
• Organism prevalence and pattern recognition
• Historical data visualization and benchmarking
• Performance metrics and KPI monitoring

AI & Machine Learning Predictions & Insights

• Predictive analytics for herd health trends
• Machine learning-powered insights and recommendations
• Risk assessment and early warning systems
• Data-driven optimization suggestions
• Automated anomaly detection and alerts

Additional Data Analytics Services

• Cross-farm benchmarking and industry comparisons
• Custom reporting and data visualization
• Integration with third-party farm management tools
• API access for custom analytics and integrations

What agAI Does NOT Provide

agAI is a data analytics and management platform. We do NOT provide:

• Direct veterinary laboratory testing services
• Veterinary medical advice, diagnosis, or treatment recommendations
• Sample collection or on-farm veterinary services
• Guarantees of specific health outcomes or performance results
• Direct communication with or responsibility for partner laboratory services

You are responsible for:

• Consulting with your veterinarian for interpretation of laboratory results and medical decisions
• Proper sample collection and handling
• Interpretation of results in context of your herd

3. Account Registration & Security

Creating an Account

Invitation-Based Registration

agAI accounts are created via invitation from our administrators:

• You will receive an email invitation
• Click the invitation link to complete signup
• Provide accurate information (name, email, password)
• Accept Terms of Service and Privacy Policy

Account Types

• Client Account: For dairy farm owners and authorized contacts
• Employee Account: For laboratory staff (not available for public signup)

Account Information Requirements

You must provide:

• Accurate and complete information
• A valid email address (used for notifications)
• A secure password meeting our requirements

Password Requirements

• Minimum 8 characters
• At least one uppercase letter
• At least one lowercase letter
• At least one number
• At least one special character (recommended)

Account Security - Your Responsibilities

You are responsible for:

• Maintaining password confidentiality - Do not share your password
• Account activity - All actions taken through your account
• Unauthorized access - Notify us immediately if you suspect unauthorized use
• Accurate information - Keep account information current
• Logging out - Log out from shared or public computers

We are NOT responsible for:

• Losses resulting from unauthorized use of your account
• Actions taken through your account credentials

4. Acceptable Use Policy

Permitted Uses

You may use agAI for:

• Accessing and analyzing laboratory test results from your partner veterinary labs
• Viewing analytics dashboards and data insights
• Exporting data for regulatory reporting and record keeping
• Managing your farm's herd health data through our platform
• Utilizing AI/ML predictions and recommendations
• Integrating with third-party farm management systems

Prohibited Uses

You may NOT:

• Illegal Activity: Violate any local, state, federal, or international law
• Security Violations: Attempt unauthorized access to agAI or other users' accounts
• Misuse of Service: Share account credentials with unauthorized persons
• Harmful Content: Upload malicious files or code, spam or harass other users

Data Integrity Requirements

When providing data to agAI:

• Accurate information: Ensure data from partner laboratories is accurately represented
• Authorized access: Only access data from laboratories you have authorized relationships with
• Regulatory compliance: Use exported data appropriately for regulatory reporting requirements
• Data security: Protect sensitive herd health information appropriately

We reserve the right to restrict access if:

• Data appears to be inaccurate or manipulated
• Unauthorized access to laboratory data is detected
• Regulatory compliance concerns are identified

Consequences of Violations

Violations may result in:

• Warning and request to cease prohibited activity
• Temporary suspension of account access
• Permanent account termination
• Legal action and cooperation with law enforcement
• Liability for damages caused

5. SMS Communications & Consent

Consent to Receive SMS Messages

By enabling SMS notifications in your account settings and providing your phone number, you expressly consent to receive automated text messages from agAI at the phone number you provided. This consent is not required as a condition of purchasing any goods or services.

Types of SMS Messages

If you opt-in to SMS notifications, you may receive the following types of text messages:

• Contagious Pathogen Alerts: Immediate notifications when S. aureus, Mycoplasma, or Prototheca is detected in your herd samples - these are time-sensitive alerts requiring urgent action
• Test Results Ready: Notifications when laboratory test results are available for review
• Billing Reminders: Payment reminders and billing notifications
• Service Announcements: Important laboratory closures, service changes, or maintenance notifications

Message Frequency & Rates

• Message frequency varies based on your herd activity and notification preferences
• Message and data rates may apply depending on your mobile carrier plan
• You can expect to receive between 1-20 messages per month depending on your testing volume and notification settings

How to Opt-In to SMS Notifications

SMS notifications require explicit opt-in. You can enable SMS notifications by:

1. Logging into your agAI account at https://agaiinc.com
2. Navigating to Account Settings → Herd Info & Contacts
3. Adding or editing a contact with a valid phone number
4. Enabling the "Receive SMS notifications" toggle for that contact
5. Configuring which notification types you wish to receive via SMS in the Notifications tab

SMS opt-in is disabled by default. You must actively enable it to receive text messages.

How to Opt-Out of SMS Notifications

You can stop receiving SMS messages at any time by:

• Replying STOP to any message you receive from agAI
• Disabling the "Receive SMS notifications" toggle in your account settings
• Contacting us at support@agaiinc.com or (559) 358-6934

After opting out, you will receive a confirmation message and no further SMS messages will be sent unless you re-enable SMS notifications.

Privacy & Data Protection

Your phone number and SMS preferences are protected under our Privacy Policy. We do not sell, rent, or share your phone number with third parties for marketing purposes. Your phone number is used solely for delivering the notifications you have opted into.

6. Data Ownership & Intellectual Property

Your Data

You own your data:

• Sample information you submit
• Herd demographics and management data
• Test results generated from your samples
• Analytics and reports about your herd

Your rights:

• Export your data at any time (portable format)
• Delete your data (subject to retention requirements in Privacy Policy)
• Control who has access to your results

Our Intellectual Property

We own agAI:

• Software code and algorithms
• User interface and design
• Database structure and schema
• Analytics methodologies and AI/ML models
• Platform architecture and infrastructure
• Trademarks, logos, and branding

You may NOT:

• Copy or reproduce agAI software
• Create derivative works based on agAI
• Reverse engineer our algorithms or AI/ML models
• Use our trademarks without permission
• Claim ownership of agAI components

7. Disclaimers & Limitations of Liability

AS-IS Service

agAI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness
• Error-free or uninterrupted operation
• Security (freedom from viruses or harmful components)

No Veterinary Medical Advice or Laboratory Services

IMPORTANT:

agAI provides data analytics and management services only. We do NOT:

• Perform laboratory testing or analysis
• Diagnose diseases or medical conditions
• Recommend treatments or therapies
• Provide veterinary medical advice
• Replace consultation with a licensed veterinarian

Data analytics and insights are informational only.

You must consult with:

• Your veterinarian for interpretation of laboratory results and medical decisions
• Your partner laboratory for any testing-related issues, quality concerns, or service disputes
• Licensed professionals for treatment recommendations and herd management strategies
